These Terms of Use ("Terms") govern your use of stravolabs.com, its forms and the Stravo client portal (together, the "Site"), operated by Stravo LLC ("Stravo," "we," "us"). By using the Site you agree to these Terms and to our Privacy Policy. If you use the Site on behalf of an organization, you agree for that organization and confirm you are authorized to do so. If you do not agree, do not use the Site.
1. Business use; services agreements control
The Site is provided for business purposes and for general information. Nothing on the Site is an offer, a commitment or a guarantee of any particular result, timeline or price. Any services Stravo provides are governed by a separate written agreement, such as a master services agreement and statement of work. If that agreement conflicts with these Terms, the agreement controls.
2. Information you submit
When you submit information through our forms, by email or through the portal ("Submissions"), you confirm that:
- the information is accurate and you are authorized to share it;
- you will not submit protected health information, patient or student records, financial account numbers, government identifiers, trade secrets, or other confidential or sensitive information, or personal information about others that you lack authority to share; and
- your Submission does not violate any law or third-party right.
Submitting an inquiry does not create a client relationship, a confidentiality obligation or any duty to provide services. Confidentiality obligations arise only under a signed agreement, such as a nondisclosure agreement. If you send us suggestions or feedback, you grant Stravo a perpetual, royalty-free right to use them without obligation to you.
3. Audits and assessments
Descriptions of our Compliance and Performance Audit and similar services are summaries. These services are technical assessments. They are not legal advice, a legal opinion, or a certification, attestation or guarantee of compliance with any law, regulation or standard, including HIPAA, FERPA or GDPR. You remain responsible for your own compliance and should consult your legal counsel.
4. Client portal
- The portal is available only to users invited by Stravo on behalf of a client. Credentials are personal and may not be shared.
- You are responsible for activity under your account and must tell us promptly at security@stravolabs.com if you suspect unauthorized access.
- Portal content is confidential information of Stravo and the applicable client and is governed by that client's agreement with Stravo.
- Portal status information is provided for convenience. Formal deliverables, acceptance and commitments are governed by the client agreement.
- We may suspend access to protect security or if these Terms are violated. Portal activity is logged for security and audit purposes.
5. Acceptable use
You will not: access the Site in violation of law; probe, scan or test the vulnerability of the Site or breach security measures, except under a written authorization from Stravo; interfere with or disrupt the Site; use automated means to scrape or collect data from the Site; upload malicious code; impersonate any person; or use the Site to build a competing product.
6. Intellectual property
The Site and its content, including text, design, graphics and software, are owned by Stravo or its licensors and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to view the Site for its intended business purpose. "Stravo" and our logos are our trademarks. Client and third-party names and logos shown on the Site are trademarks of their respective owners, are used with permission, and do not imply endorsement beyond the work described.
7. Third-party sites and services
The Site may link to or integrate third-party sites and services. We are not responsible for their content, policies or practices, and your use of them is at your own risk.
8. Disclaimers
The Site is provided "as is" and "as available." To the fullest extent permitted by law, Stravo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and does not warrant that the Site will be uninterrupted, error-free or secure. Case studies and examples describe past work and do not guarantee similar results.
9. Limitation of liability
To the fullest extent permitted by law, Stravo and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from or related to your use of the Site. Stravo's total liability arising from the Site will not exceed one hundred U.S. dollars (US$100). These limits do not apply to liability that cannot be limited by law and do not modify any signed services agreement.
10. Indemnification
You will defend, indemnify and hold harmless Stravo and its affiliates from claims, losses and expenses, including reasonable attorneys' fees, arising from your Submissions, your misuse of the Site, or your violation of these Terms.
11. Governing law and venue
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in [Hillsborough County], Florida, and you consent to their jurisdiction. Nothing here prevents either party from seeking injunctive relief to protect intellectual property or confidential information.
12. Changes and general terms
We may update these Terms by posting a new version with a new "Last updated" date. Continued use of the Site after changes take effect means you accept them. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. These Terms and our Privacy Policy are the entire agreement between you and Stravo about the Site.
